1. Acceptance of Terms & Publisher Exemption

By accessing or using any services provided by Counter Logic Trading, INC ("CLT," "we," "us," or "our"), including our website, research publications, educational content, community platforms, and educational coaching programs, you agree to be bound by these Terms of Service. Counter Logic Trading operates strictly as a financial publisher under the "Publisher's Exemption" of the Investment Advisers Act of 1940 (Lowe v. SEC, 472 U.S. 181). We do not provide personalized investment advice.

2. Description of Services

Counter Logic Trading provides:

CLT Letter — Daily curated market research & analysis.
Earnings Alpha — Data-driven post-earnings analysis.
Inner Syndicate Course — Structured trading education.
Inner Syndicate Hub — Exclusive real-time educational trading room with 1-on-1 process coaching.

Important: We are NOT a registered broker-dealer, investment adviser, or financial planner. All content is impersonal and provided strictly for educational and informational purposes.

3. Community Rules & Moderator Disclaimer (No Fiduciary Duty)

Our platforms host discussions among members and volunteer moderators. You explicitly agree that:

Moderators, contributors, and the founder are NOT your financial advisors. No fiduciary relationship is established at any time.
Any trade posted by a moderator or member represents their personal, self-reported activity, which CLT does not verify.
We strongly prohibit "pump and dump" schemes, market manipulation, or coordinated trading. Any member found engaging in such activities will be instantly banned without refund and reported to regulatory authorities.
Blindly following trades posted in our community is done strictly at your own risk. CLT and its moderators guarantee no specific results or profitability.

4. Intellectual Property & Anti-Piracy

All content published by CLT—including research letters, watchlists, earnings models, and private 1-on-1 educational coaching materials—is the exclusive intellectual property of CLT.

Strict Anti-Piracy Policy: You may not share your login credentials, screen-record live sessions, forward newsletters, or redistribute our proprietary research. Our platform utilizes IP-tracking and hidden digital watermarks. Violation of this clause will result in immediate account termination without refund and potential civil litigation for damages.

5. User-Generated Content & Testimonial Release

By posting profit screenshots, reviews, or feedback ("User Content") within our Discord or via email, you grant Counter Logic Trading, INC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and publicly display this content for marketing and promotional purposes. We will make reasonable efforts to anonymize sensitive personal information (such as account numbers).

6. Subscription & Cancellation

Subscription fees are billed in advance. You may cancel your subscription at any time through your account settings. Cancellation stops future billing but allows access until the end of the current billing cycle. Please review our Refund Policy for specific terms regarding chargebacks and non-refundable tiers.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. We do not warrant that our analysis, data, or platform will be error-free or uninterrupted.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COUNTER LOGIC TRADING, INC, ITS OFFICERS, EDUCATORS, AND MODERATORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING FINANCIAL LOSS, MISSED OPPORTUNITIES, OR TRADING LOSSES) ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification (Fee-Shifting Clause)

You agree to indemnify, defend, and hold harmless Counter Logic Trading, INC, its affiliates, employees, and educators from any and all claims, losses, damages, liabilities, and costs (including reasonable attorneys' fees and legal expenses) arising out of or relating to: (a) your use of our services; (b) your trading decisions or financial losses; (c) your violation of these Terms; or (d) any regulatory inquiry or litigation resulting from your actions.

10. Governing Law & Binding Arbitration

Dispute Resolution: These Terms shall be governed by the laws of the State of California. Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association. The arbitration shall take place exclusively in Los Angeles County, California. You agree to waive your right to a jury trial and your right to participate in any class action lawsuit.
